Welcome to Taara. These Terms & Conditions ("Terms") are a binding agreement between you and AceDrop Inc., a Delaware corporation, which operates the Taara marketplace ("Taara," "we," "us," or "our"). By accessing, downloading, registering for, or using the Taara mobile or web application, creating a listing, placing an order, or otherwise using the service, you agree to be bound by these Terms, our Privacy Policy, our Refund & Return Policy, our EULA, and our Disclaimer, each incorporated by reference. If you do not agree, do not use Taara.
You must be at least 18 years old to use Taara.
1. About Taara
Taara is a peer-to-peer online marketplace that connects independent buyers and sellers. Users can list, discover, buy, and sell goods and services across categories including general items, vehicles, real estate/houses, events, services, and establishments. Taara also offers in-app messaging, shipping tools, and optional premium subscriptions.
Taara is a venue, not a party to transactions. Except where we expressly act as a limited payments intermediary (see Section 6), Taara is not the buyer, seller, importer, or manufacturer of any item listed. Sellers are solely responsible for their listings and the goods or services they provide; buyers are solely responsible for their purchasing decisions. We do not guarantee the quality, safety, legality, or accuracy of any listing.
2. Definitions and Key Terms
- Buyer: A user who purchases or offers to purchase through Taara.
- Seller: A user who lists or sells through Taara, including users onboarded for payouts via Stripe Connect.
- Company / we / us / our: Taara, operated by AceDrop Inc., a Delaware corporation.
- Content: Any listings, photos, text, messages, reviews, or other material submitted to Taara.
- Device: Any internet-connected device used to access Taara.
- Listing: A post offering an item, vehicle, house, event, service, or establishment.
- Service: The Taara marketplace and all related features.
- Third-party service: Payment, shipping, messaging, analytics, advertising, and other providers we integrate.
- You: A person or entity registered with, or using, Taara.
3. Accounts and Eligibility
- You must be at least 18 years old and legally able to enter into a binding contract.
- You must provide accurate, current information and keep it updated.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You may be required to verify your identity to buy, sell, or receive payouts. You authorize us and our partners (including Stripe) to perform identity and fraud checks.
- We may refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms or applicable law.
4. License
Subject to these Terms, Taara grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the app for your personal, non-commercial use of the marketplace (selling permitted through the marketplace's features). This does not transfer any ownership of the app or its content. If you violate any term, we may cancel or block access to your account without notice.
5. Listings and Seller Obligations
If you list items or services as a Seller, you agree that:
- You have the legal right to sell the item or provide the service, and it does not infringe any third-party rights.
- Your listings are accurate, complete, and not misleading, including descriptions, photos, condition, price, and category.
- You will honor the price and terms you publish, ship or deliver within the timeframes you state, and provide valid tracking where applicable.
- You will set an accurate return policy for each listing (for example, a 15-day or 30-day return window, or a clearly disclosed "no returns" policy where permitted) and honor our Refund & Return Policy.
- You are responsible for determining, collecting, and remitting any taxes applicable to your sales, and for complying with all laws applicable to your goods, services, and business.
- You will complete Stripe Connect onboarding and accept the Refund & Return Policy before selling.
Prohibited Items and Conduct
You may not list, sell, or transact in anything illegal or prohibited, and you may not:
- List illegal, stolen, counterfeit, recalled, or hazardous goods, or items you do not have the right to sell.
- List weapons, drugs, or other items prohibited by law or by our policies.
- Post false, deceptive, fraudulent, infringing, obscene, harassing, or harmful content.
- Circumvent Taara's fees, payments, or messaging (for example, arranging off-platform payment to avoid buyer protections).
- Use the service to launder money, finance illegal activity, or evade sanctions.
- Manipulate rankings, reviews, or search results; create fake accounts; or scrape, reverse engineer, or overload the service.
- Harass, threaten, or abuse other users or our staff.
We may remove any listing or content and suspend any account that violates these Terms, at our discretion.
6. Payments, Held Funds, and Fees
- Payment processing: Payments are processed by Stripe. By transacting on Taara, you agree to Stripe's applicable terms. Taara does not store full payment card numbers.
- Held funds: For eligible transactions, buyer payments are held securely by our payment processor (Stripe) and released to the seller after delivery is confirmed and any applicable hold period has passed. This protects buyers and helps resolve disputes. Taara does not itself take custody of your funds; funds are held and disbursed by our payment processor.
- Seller payouts: Sellers receive payouts through Stripe Connect after funds are released, less applicable fees.
- Fees: Taara may charge service fees, payment-processing fees, restocking fees, and shipping charges as described at checkout and in our Refund & Return Policy. Payment-processing fees charged by Stripe are generally non-refundable. We may change our fees on a prospective basis with notice.
- Taxes: You are responsible for any taxes arising from your transactions. Sellers are responsible for sales/use tax where applicable.
- Currency and errors: Prices are displayed in the applicable currency. If an item is listed at an incorrect price due to a typographical or system error, we or the seller may cancel the order, even if it was confirmed; if payment was already processed, a refund will be issued.
7. Shipping
Shipping labels, rates, and tracking are provided through EasyPost and third-party carriers. Sellers are responsible for shipping items accurately, promptly, and securely. Buyers and sellers are responsible for providing accurate addresses. Risk of loss and responsibility for shipping issues are addressed in the Refund & Return Policy.
8. Returns, Refunds, and Disputes
Returns and refunds are governed by our Refund & Return Policy, which forms part of these Terms. In summary:
- Return eligibility and windows depend on the seller's stated policy and the reason for return.
- Fees (restocking, payment processing, and return shipping) are allocated based on who is responsible for the return (buyer, seller, or shipping carrier).
- If a buyer and seller cannot resolve a dispute, either party may escalate it to Taara Support. Taara may review the evidence and make a resolution decision. Where an outcome is determined in part by automated calculations (for example, fee allocation), you may request human review.
You agree to act in good faith in returns and disputes and to provide accurate evidence.
9. Subscriptions and Premium Features
- Taara offers optional auto-renewing premium subscriptions (for example, weekly, monthly, three-month, and yearly plans) purchased through the Apple App Store or Google Play.
- Payment is charged to your app store account at confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.
- You manage and cancel subscriptions through your Apple App Store or Google Play account settings, not through Taara. Prices are shown in the app and may vary by region and store.
- Except where required by law or the applicable app store's policies, subscription payments are non-refundable, and refunds for app store purchases are handled by Apple or Google.
10. User Content and Messaging
- You retain ownership of content you submit, but you grant Taara a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute your content as needed to operate, promote, and improve the service.
- You are solely responsible for your content and messages and warrant that you have the rights to post them.
- In-app messaging is provided through Stream Chat. Do not use messaging to harass others, share prohibited content, or circumvent Taara's payment and buyer-protection systems. We may access, review, and moderate content and messages to enforce these Terms, resolve disputes, and comply with law.
11. Advertising and Third-Party Services
The app may display advertising (including through Google AdMob), affiliate links, and links to third-party websites and services. We are not responsible for third-party content, products, or services, and your use of them is at your own risk and subject to their terms. See our Disclaimer for advertising and affiliate disclosures.
12. Intellectual Property
The Taara app and its contents, features, branding, and functionality are owned by AceDrop or its licensors and are protected by intellectual property laws. You may not copy, modify, reproduce, download, distribute, reverse engineer, or create derivative works from the service except as expressly permitted. You may not remove or obscure any proprietary notices.
13. Your Suggestions
Any feedback, comments, ideas, or suggestions ("Suggestions") you provide remain the property of AceDrop. We may use, copy, modify, publish, or redistribute Suggestions without credit or compensation to you.
14. Copyright Infringement Notice
If you believe content on Taara infringes your copyright, send a notice to our support address that includes:
- A physical or electronic signature of the copyright owner or authorized agent.
- Identification of the copyrighted work and the allegedly infringing material.
- Your contact information, including address, telephone number, and email.
- A statement of good-faith belief that the use is unauthorized.
- A statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the owner.
15. Disclaimers and Limitation of Liability
The service is provided "as is" and "as available" without warranties of any kind. Taara disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and does not warrant that the service will be uninterrupted, secure, or error-free. Taara is not responsible for the acts or omissions of buyers, sellers, carriers, or other third parties.
To the maximum extent permitted by law, AceDrop and its suppliers will not be liable for any special, incidental, indirect, or consequential damages, including loss of profits, data, goodwill, or business interruption. Our total aggregate liability arising out of or relating to the service is limited to the greater of (a) the total fees you paid to Taara in the six months preceding the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless AceDrop, Taara, and their affiliates, officers, employees, agents, partners, and licensors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from your use of the service, your listings or transactions, your content, your violation of these Terms, or your violation of any law or third-party right.
17. Term and Termination
These Terms remain in effect while you use the service. You may stop using Taara and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, provisions that by their nature should survive (including payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
18. Dispute Resolution and Arbitration
Please read this section carefully.
- Informal resolution: Before starting arbitration, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. If it is not resolved within 60 days, either party may commence arbitration.
- Binding arbitration: Except for claims that qualify for small-claims court and claims seeking injunctive or equitable relief for intellectual property rights, any dispute arising out of or relating to these Terms or the service will be resolved by binding arbitration administered under the commercial arbitration rules of the American Arbitration Association. Arbitration is conducted on an individual basis.
- Class action waiver: You and Taara agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class or representative action.
- Governing law: These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules.
- Injunctive relief: Either party may seek interim injunctive relief from a court of competent jurisdiction.
19. Changes to These Terms
We may modify these Terms from time to time. If a change is material, we will provide notice (for example, in-app, by email, or by updating the "Last Updated" date) before it takes effect. Your continued use of the service after changes take effect constitutes acceptance. If you do not agree, you must stop using the service and may delete your account.
20. General
- Severability: If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be interpreted to accomplish its objective to the greatest extent permitted by law.
- Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- No agency: These Terms do not create any employment, agency, partnership, or joint-venture relationship.
- Entire agreement: These Terms, together with the Privacy Policy, Refund & Return Policy, EULA, and Disclaimer, constitute the entire agreement between you and Taara regarding the service and supersede prior agreements.
- Limitation of time to file claims: Any claim arising out of or relating to these Terms or the service must be filed within one (1) year after it accrues, or it is permanently barred.
