Definitions and Key Terms

• Application / App: The Taara marketplace application for iOS, Android, and web, and all related software, updates, and content.
• Company / we / us / our: Taara, operated by AceDrop Inc., a Delaware corporation.
• Cookie: Data saved by your browser used to identify your browser, provide analytics, and remember information such as language preference or login state.
• Service: The Taara marketplace and related features.
• Third-party service: Payment, shipping, messaging, analytics, advertising, and other providers we integrate.
• You: A person or entity registered with, or using, Taara.

Acknowledgement

By downloading, installing, accessing, or using the App you:

• Affirm that you are at least 18 years old and legally able to enter into a binding agreement.
• Affirm that you have the necessary permissions and authorizations to access and use the App.
• If using the App on behalf of an organization, warrant that you are authorized to bind that organization to this Agreement.
• Acknowledge that you have read, understand, and agree to be legally bound by this Agreement.

This Agreement is between you and AceDrop only, and not with Apple or Google. The App is made available through the Apple App Store and Google Play, whose terms also apply to your download and use of the App. If you do not agree, do not download, install, or use the App, and delete it from your device.

License Grant

Subject to your compliance with this Agreement, AceDrop grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices you own or control, solely for your personal use of the Taara marketplace (including buying and selling through the marketplace's features). No rights are granted except as expressly set out here, and AceDrop reserves all rights not expressly granted.

Restrictions

You agree not to, and will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or commercially exploit the Application or make it available to any third party outside its intended marketplace use.
• Modify, create derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Application, except to the extent this restriction is prohibited by applicable law.
• Remove, alter, or obscure any proprietary notice (including copyright or trademark) of AceDrop, Taara, or their affiliates, partners, suppliers, or licensors.
• Use the App to violate any law, infringe any right, transmit malware, or interfere with or overload the service.

Intellectual Property

All intellectual property rights in the Application — including copyrights, patents, trademarks, trade secrets, and other proprietary rights — remain the exclusive property of AceDrop or its suppliers/licensors. This Agreement grants only a limited license to use the App. You retain ownership of the content you create (such as your listings), subject to the license you grant us in our Terms & Conditions. You agree to safeguard the App against infringement, misappropriation, theft, misuse, or unauthorized access.

Your Suggestions

Any feedback, comments, ideas, improvements, or suggestions ("Suggestions") you provide remain the sole property of AceDrop. We may use, copy, modify, publish, or redistribute Suggestions without credit or compensation to you.

In-App Purchases and Subscriptions

The App offers optional auto-renewing premium subscriptions and other in-app purchases processed through the Apple App Store or Google Play. Purchases, billing, renewals, and refunds for these are subject to the applicable app store's terms and are managed through your app store account. Modifications and Updates to the Application

AceDrop may provide enhancements, patches, bug fixes, updates, and upgrades ("Updates"), which may modify or remove features. AceDrop may also modify, suspend, or discontinue the App or any connected service, temporarily or permanently, with or without notice and without liability to you. Updates are an integral part of the App and are subject to this Agreement. AceDrop has no obligation to provide Updates or to maintain any particular feature.

Third-Party Services

The App integrates and makes available third-party content and services ("Third-Party Services"), including payment (Stripe), shipping (EasyPost), messaging (Stream Chat), analytics and messaging (Google Firebase), attribution (Branch), advertising (Google AdMob), and the app stores (Apple, Google). AceDrop is not responsible for Third-Party Services and assumes no liability for their accuracy, legality, quality, or availability. You use them at your own risk and subject to their terms.

Term and Termination

This Agreement remains in effect until terminated. AceDrop may suspend or terminate this Agreement or your access to the App at any time, with or without notice, including if you fail to comply with any provision. Upon termination, you must cease all use of the App and delete all copies from your devices. Termination does not limit AceDrop's rights or remedies.

Indemnification

You agree to indemnify, defend, and hold harmless AceDrop, Taara, and their officers, directors, employees, agents, affiliates, successors, and assigns from any losses, damages, liabilities, claims, costs, or expenses (including reasonable attorneys' fees) arising from: (1) your use or misuse of the App; (2) your failure to comply with applicable law; (3) your breach of this Agreement; or (4) your listings, transactions, or content.

No Warranties

The App is provided "as is" and "as available" with all faults and without warranty of any kind. To the maximum extent permitted by law, AceDrop and its affiliates, licensors, and service providers disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. AceDrop does not warrant that the App will meet your requirements, be compatible with other software, operate uninterrupted, or be error-free. Some jurisdictions do not allow limitations on implied warranties, so these exclusions may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, AceDrop's total liability under this Agreement is limited to the greater of the amount you paid, if any, for the App or premium features in the six months preceding the claim, or one hundred U.S. dollars (US$100). AceDrop and its suppliers will not be liable for any special, incidental, indirect, or consequential damages (including lost profits, data loss, business interruption, personal injury, or privacy loss), even if advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so they may not apply to you.

Apple and Google App Store Terms

To the extent you obtained the App through the Apple App Store or Google Play, you acknowledge:

• This Agreement is between you and AceDrop only, not with Apple or Google.
• Apple and Google have no obligation to provide maintenance or support for the App.
• In the event the App fails to conform to any applicable warranty, you may notify Apple, and (where required) Apple may refund the purchase price; to the maximum extent permitted by law, Apple and Google have no other warranty obligation.
• Apple and Google are third-party beneficiaries of this Agreement and, upon your acceptance, have the right to enforce it against you.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country, and are not on any U.S. Government restricted-party list.

Geographic Restrictions

The App is provided primarily for access and use by persons located in the United States. If you use the App from outside the United States, you are solely responsible for compliance with local laws.

Governing Law

This Agreement is governed by the laws of the State of Delaware and applicable U.S. federal law, excluding conflict-of-law rules. Your use may also be subject to other local, state, national, or international laws. Dispute resolution, including binding arbitration and the class-action waiver, is governed by our Terms & Conditions.

Severability, Waiver, and Entire Agreement

If any provision of this Agreement is held unenforceable, that provision will be interpreted to accomplish its objective to the greatest extent permitted by law, and the remaining provisions will continue in full force. No failure or delay in exercising any right operates as a waiver. This Agreement, together with the Terms & Conditions, Privacy Policy, Refund & Return Policy, and Disclaimer, constitutes the entire agreement between you and AceDrop regarding the App.

Limitation of Time to File Claims

Any cause of action or claim arising out of or relating to this Agreement or the App must be commenced within one (1) year after the cause of action accrues; otherwise, it is permanently barred.

Amendments

AceDrop may modify or replace this Agreement at its discretion. If a revision is material, we will provide at least 30 days' notice before the new terms take effect. By continuing to use the App after revisions become effective, you agree to be bound by the revised terms. If you do not agree, you must stop using the App.
